1. Acceptance of Terms
By creating an account or using BookkeeperIQ (the "Service"), you agree to these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and BookkeeperIQ Inc. ("we", "us", or "our").
2. Description of Service
BookkeeperIQ is a cloud-based financial management platform designed for Canadian sole proprietors and small businesses. The Service includes receipt scanning, expense categorization, mileage tracking, bank statement reconciliation, GST/HST summary generation, T2125-ready report exports, e-signature workflows, and AI-powered financial insights.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activities that occur under your account;
- Promptly notifying us of any unauthorized use at support@usebookkeeper.com.
You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction to use this Service.
4. Subscription Plans and Payment
BookkeeperIQ offers the following subscription tiers:
- Free — limited feature set, no payment required;
- Solo — CAD $19/month (or ~$190/year billed annually);
- Business — CAD $39/month per organization (or ~$390/year billed annually).
All prices are in Canadian dollars and exclude applicable taxes (GST/HST/PST/QST). Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not offer pro-rated refunds for partial months except where required by applicable law.
We reserve the right to change pricing with 30 days' notice. Continued use of the Service after the price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws;
- Upload false, fraudulent, or misleading financial information;
- Attempt to reverse-engineer, decompile, or extract source code from the Service;
- Use automated tools, scrapers, or bots to access the Service without our written permission;
- Circumvent, disable, or interfere with security-related features;
- Share your account credentials with unauthorized third parties.
6. Financial Information Disclaimer
BookkeeperIQ is a bookkeeping tool, not a licensed accounting or tax advisory service. The information, reports, and summaries generated by the Service are for organizational and informational purposes only. They do not constitute professional tax, legal, or financial advice. You should consult a qualified accountant or tax professional for advice specific to your situation, particularly before filing tax returns.
7. Intellectual Property
All content, trademarks, software, and intellectual property in the Service are owned by or licensed to BookkeeperIQ Inc. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You retain ownership of all financial data you upload to the Service.
8. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOKKEEPERIQ INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Termination
We may suspend or terminate your account at any time for violation of these Terms, non-payment, or at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination; after that period, we may delete your data in accordance with our retention policy.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
